Moscow freight company to buy operator of St. Petersburg Port Bronka for 10.9 billion rubles

ST. PETERSBURG. March 21 (Interfax) - The Russian government approved the sale of 100% of the charter capital of the sole owner and operator of the federally-owned marine multifunctional transshipment complex Bronka in St. Petersburg, Phoenix LLC, to NKK-Logistik in Moscow for 10.9 billion rubles, according to the official portal of legal information.

The order for the transaction was signed on by Russian Prime Minister Mikhail Mishustin on March 18.

"The Federal Property Management Agency, within a month from the date of entry into force of this order, will ensure the conclusion of the share purchase and sale agreement with the buyer," the document says.

Phoenix LLC will be transferred to the buyer after full payment and transfer of the funds in rubles to the account of the Russian Treasury, the document says.

Previously, the market value of a 100% stake in the charter capital of Phoenix LLC was estimated at 10.9 billion rubles. The charter capital of the company is 13.3 billion rubles.

Phoenix LLC is currently owned by the Federal Property Management Agency. As reported, in February 2022, Mishustin had instructed the agency to transfer 100% of the company's charter capital to the Rostec state corporation within 12 months.

Since 2022, Port Bronka has been acting as a base port for the transshipment of Belarusian cargo within the Great Port of St. Petersburg. As reported by their Ministry of Transport, Belarus intends to complete the purchase of this marine complex in 2023. In addition, construction of a new Belarusian transshipment terminal began in 2022 near Bronka.

According to an extract from the Unified State Register of Legal Entities, NKK-Logistic LLC was registered in September 2021 and is engaged in rail freight transportation. The co-founders are Natalia Morozova's National Cartographic Corporation LLC, with 80% of the charter capital, and its CEO Alexei Raspopov, with 20%.

Port Bronka is located on the southern coast of the Gulf of Finland within the boundaries of the territory of the Great Port of St. Petersburg, in the area where the dam adjoins the ring road to the territory of the city of Lomonosov. Port Bronka includes three specialized complexes: a container terminal, a ro-ro cargo terminal and a logistics center.

Bronka's current throughput capacity is 500,000 TEU and 130,000 units of ro-ro cargo per year. The plan for further development includes an increase in capacity for containerized cargo handling of up to 1.9 million TEU per year, and ro-ro cargo capacity of 200,000 units per year. Potential projects for the development of railway and warehouse infrastructure would further increase the capacity of cargo transshipment to 25 million tonnes by 2025, according to an independent appraiser's report published by the Federal Property Management Agency.
